● Your primary responsibility will be to provide all-round legal support to the recently created venture capital organisation in SABIC, that is active in investments in innovative companies linked to the chemical sector
● You will advise business management in the structuring and negotiation of venture capital transactions of different sizes and complexity in different jurisdictions
● You will participate in the assessment and selection of potential investments in companies at different stages of development
● You will draft and negotiate (when required with the support of external legal counsel) the required transaction documents (such preliminary documents, term sheets, share purchase agreements, subscription and shareholder agreement, financing agreements)
● You will be part of the deal team and participate in the negotiation of the transactions
● You will advise on the ongoing management of the investment portfolio
● You will be responsible for retaining and managing any required external legal support

Depending on the deal flow and your experience you may also provide legal support to other corporate functions and projects of the SABIC group.

The position will be based in Amsterdam/Sittard, The Netherlands, but you will be involved in transactions in other countries in Europe, the US and other regions.

● You are a qualified lawyer with 4-8 years of experience as an in-house lawyer in a private equity or venture capital firm or in the corporate/M&A practice of an international law firm
● Your main background is corporate law, but you are familiar with the fundamentals of competition law, intellectual property law and tax law where specialist advice may be required.
● You have direct experience in venture capital transactions
● You are familiar with the regulatory framework of the venture capital industry
● You have a fluent command of English. Knowledge of one or more other languages is a plus.
● You have good negotiating and communication skills
● You are internationally minded, able to handle transactions in different jurisdictions and operate in a multi-cultural environment
● You are a strong personality with a keen business sense and a hands-on pro-active attitude
